Terms of Service
The contract between Sonicium Quantum Lab Ltd and you (or the entity you represent) when you use the Kepler Q-Max platform.

1. Acceptance
By creating an account, generating an API key, or invoking any Kepler Q-Max endpoint, you accept these Terms. If you don't agree, don't use the service.
2. The service
Kepler Q-Max provides hybrid quantum-classical inference via REST API, dashboards, and SDKs. Features, models, and pricing may evolve; we'll notify customers of material changes 30 days in advance.
3. Acceptable use
You will not use the platform to: (a) generate content that is unlawful, harassing, or facilitates harm; (b) reverse-engineer model weights; (c) probe security boundaries without written authorization; (d) resell raw inference capacity without an OEM agreement.
4. Billing & usage
Plans are billed monthly in advance. Metered usage above plan caps is billed in arrears. Failed payment after 14 days suspends the account. Invoices are non-refundable except where required by law.
5. SLA
Production tier targets 99.9% monthly uptime for the inference API. Service credits are detailed in the per-plan SLA addendum. Quantum hardware (training) is best-effort and excluded from SLA.
6. Intellectual property
You retain all rights to data and prompts you submit. We retain all rights to the platform, model weights, and ansatz parameters. Outputs returned to you are licensed for any lawful business use.
7. Confidentiality & data
We treat your inputs as Confidential Information. See the Privacy Policy and DPA for processing details.
8. Warranties & liability
The service is provided "as is" without implied warranties beyond those mandated by law. Aggregate liability is capped at 12 months of fees paid. Neither party is liable for indirect or consequential damages.
9. Termination
Either party may terminate for material breach with 30 days' written notice. We may suspend immediately for security or AUP violations. On termination, your data is exported on request and deleted within 30 days.
10. Governing law
These Terms are governed by the laws of England & Wales. Disputes resolved in the courts of London, UK.
